Terms and Conditions of
EMV Welding Inc.
1. Scope of Services: EMV Welding Inc agrees to provide services as outlined in the written quotation or contract provided to Clien/User, limited but not inclusive of the ones depicted in this website and/or contracted.
2. Pricing and Payment: The Client agrees to pay the Company the agreed-upon price for welding or steel fabrication/erection services as outlined in the quotation or contract. Payment is due within 1 calendar days of commencing the project and 7 days after the completion of the project. Late payments may be subject to late fee or interest rate marked by law, as outlined in the invoice. No returns or credits on custom cut, made or installed projects and/or materials.
3. Cancellation and Rescheduling: The Client may cancel or reschedule services by providing 7 days' notice to the Company. Recurred expenses incurred to date of cancellation of delivery and/or project will have to be covered accordantly by costumer. The Company reserves the right to charge a cancellation fee if adequate notice is not provided, or inclement weather. Change in circumstances different than the ones when this agreement was signed, that potentially affect the outcome of the project (Price, availability, weather, etc.) will have to be re-adjust to meet the current changes.
4. Warranty: The Company provides a warranty on its services for a period of 90 days from the date of completion. This warranty covers defects in workmanship and materials. The Client must notify the Company of any warranty claim in writing within 90 days and the Company will repair or replace the defective work at its discretion. This warranty does not cover damage caused by misuse, neglect, or accidents.
5. Safety and Compliance: The Company will comply with all relevant safety standards and regulations while performing its services. The Client agrees to provide a safe working environment for the Company's employees while providing the hired services.
6. Liability: The Company's liability for any damages or losses related to its services is limited to the total cost of the services provided. The Company is not liable for any consequential or indirect damages.
7. Termination: Either party may terminate the contract with written notice if the other party breaches any material term or condition of this agreement. Termination does not relieve the Client of its obligation to pay for completed services.
8. Confidentiality: Both parties agree to keep any confidential information obtained during the course of the project confidential.
9. Governing Law: This agreement is governed by and construed in accordance with the laws of State of Illinois.
10. Entire Agreement: - This document constitutes the entire agreement between the Company and the User/Client and supersedes all prior agreements and understandings.
11. Modifications: - Any modifications or amendments to this agreement must be made in writing and signed by both parties.
12. Exclusions: -
12.1) Special contract requirements.
12.2) Special insurance requirements. Insurance as shown on the attached certificate and endorsement should be provided as part of the proposed price.
12.3) Bonds cost.
12.4) Engineer’s seal, supervision, or calculations for steel, joist or deck material or shop drawings.
12.5) Seismic design.
12.6) Grout and grouting.
12.7) Any and all field measurements and/or site verifications or confirmations of information provided or not provided in the original documents.
12.8) Costs of test or inspections.
12.9) Touch up painting.
12.10) Special painting or galvanizing. (According to AISC, EMVs shop coat primers are intended for protection for only a short period of exposure in ordinary atmospheric conditions, and is considered a temporary and provisional coating).
12.11) Compatibility of prime and finish paints for structural steel, joists, and deck (by others).
12.12) Anything embedded in precast or for precast connections.
12.13) Lintels and roof frames not specifically shown on the structural drawings.
12.14) Use of Architectural drawings for bidding purposes, reviewed for reference only.
12.15) Joist reinforcing.
12.16) Structural steel not specifically shown on structural buildings.
12.17) Miscellaneous metals.
12.18) Restrictions to work on existing buildings including: A Demolitions. B Shoring. C Non-productive fire watch. D Weather protection or protection of existing. E Cutting or patching. F Lack of clear access to areas requiring erection.
12.19) High performance coating (by others). 12.20) Prime painting of galvanized metal (by others).
12.21) Masonry Ties.
12.22) Premium time (bid as straight time only).
12.23) Roof hatch.
12.24) More than (1) one crane or scaffold mobilization.
12.25) Mockups per scope layout.
12.26) Cleaning of dirt, mud, etc., prior to erection on install site, unless clean lay down area is provided.
12.27) Snow removal of lay down, work and install area.
12.28) Coordination and demolition of preceding steel and/or structure.
12.29) Roof davits.
12.30) Hoisting of any material other than what is listed specifically in the scope of work description.
12.31) Structure Steel or attachments modifications.
12.32) Maintenance and removal of safety post /cable.
12.33) Anchor rods.
12.34) All street permits, sidewalk permits, barricades, pedestrian, and vehicular protection, scanning of existing steel for crane, material work and work truck access (by others).
12.35) MBE/WBE requirements, minority or women workforce requirements, City of Chicago residency, community hiring requirements, and penalties or fines (Company will provide good faith effort to meet requirements).
12.36) Steel, attachments and/or additions for mechanical equipment.
13. Delivery :All materials delivery, except where noted and/or agreed, arranged and documented beforehand by both parties.
14. Raw Material Price Escalation : The prices quoted are current as of the date of our proposal, market variations are subject to adjustments accordantly.
15. Builders Risk Insurance. In amounts adequate to protect the interest of EMV Welding Inc., and our sub-contractors, is to be provided by others without charge to EMV Welding Inc., for either premium costs or deductible amounts applied to any payable loss.
16.Legal Notifications: Any legal notice, amendment, enforcement or contractual communication against EMV Welding Inc. should be via Signed Certified Mail to be validated and acknowledged with 14 days prior notice.
By using this site, written agreement or paying a deposit on an porspected project proposal, the user or client both parties acknowledge that they have read and agreed to the terms and conditions outlined in this agreement.
